Learn more about Corporate Governance through a new certificate program at Case

Image: A new Corporate Governance Certificate Program for managersDuring spring semester, the Weatherhead School of Management at Case Western Reserve University will offer a new Corporate Governance Certificate Program for managers interested in better understanding issues related to the topic and the implications of new corporate regulations in the Sarbanes-Oxley Act.

The certificate program provides participants with an in-depth understanding of corporate governance requirements and practices and the implications for managers and executives of both public and small corporations. It includes historical perspectives, financial background, fraud, structure and processes, Sarbanes-Oxley and legal aspects of compliance.

Participants are awarded certificates after completion of all four programs listed below. Seminars may also be taken individually:

“Introduction to Corporate Governance” on February 11, 2005, provides a broad historical perspective on corporate governance in the United States, an introduction to the concept and the financial aspects as well as the organizational structures and internal control issues of corporate governance. Robert Bricker, Case professor of accountancy and associate dean for graduate programs at Weatherhead, will lead the seminar.

“Cases in Corporate Fraud: Recognizing the Warning Signs” on February 25, 2005, examines the recent scandals at Enron, Worldcom and Adelphia as a framework for identifying and understanding corporate fraud and alerting managers to warning signs that a company may be at risk. The seminar will review common elements found in these fraud cases and the conditions that allowed them to occur. Bricker will also lead this seminar.

“Implications of Corporate Governance and Sarbanes-Oxley on Your Organization” takes place March 18, 2005. In the wake of Enron and other corporate scandals, new laws, regulations and standards have controlled corporate practices. This seminar explores the changing roles and responsibilities of directors, CEO’s and other managers; internal and external auditor responsibilities; and the implications for public and private companies. Julia E. S. Grant, Weatherhead associate professor of accountancy, will teach this class.

“Corporate Governance: Legal Aspects of Compliance” will conclude the seminar series on April 1, 2005, by examining criminal and personal liability issues for managers and other employees by introducing participants “to the new legal landscape.” Taught by Andrew Morriss, Galen J. Roush Professor of Business Law and Regulation at the Case School of Law, this program will provide participants with the basics of compliance to the Sarbanes-Oxley Act, recognizing warning signs of potential compliance problems, understanding how to handle whistleblowers, identifying vulnerabilities in reporting and compliance and how to protect employees against criminal liability.
